Terms and Conditions | Talkparty - Speak English Confidently

These terms and conditions ("Terms and Conditions") are a legally binding agreement between you, the user who will be utilizing the Talkparty App (referenced below as "You" or "User"), and Patika Inc. ("Talkparty" or "We"), with respect to the use of Talkparty's services (as defined below), which are available via Talkparty's website and mobile application (the "App").

By using the App, You accept the Terms and Conditions hereof, including the terms of our Privacy Policy, which is incorporated herein by reference. Talkparty reserves the right, in its sole discretion, to modify these Terms and Conditions, including any other policies incorporated thereto, at any time by posting the modified provisions at talkparty.app. Please note that any such modifications shall become effective immediately upon posting. IF YOU DO NOT AGREE TO ALL OF THESE TERMS AND CONDITIONS, DO NOT ACCESS OR USE ANY PART OF THE APP AND/OR SERVICES.

THE APP AND SERVICES

Talkparty is a real-time conversation platform that enables users to engage in interactive discussions with AI-powered tools and other users (the "Services").

The Services may include the sending of push notifications, messages, emails, and alerts via various means of communication. In addition, the Services may include third-party advertisements and/or commercial content.

You can deactivate push notifications, if applicable, at any time by changing the notification settings on your device.

The Services are available only to individuals over the age of 16, who can form legally binding contracts under applicable law and for their own personal use. As further specified below, Talkparty grants You a limited, personal, non-transferable, non-exclusive, non-assignable, non-sublicensable license to access and use the Services and App, all subject to these Terms and Conditions.

You hereby warrant that You have the right and authority to enter into these Terms and Conditions as an individual.

REGISTRATION

As a condition to using all or some aspects of the App and Services, You may be required to register for the App and create a user account. Your user account may grant You access to various App features, including additional functionality that Talkparty may establish and maintain from time to time, at its sole discretion. As part of the registration process, You may be required to pay a registration fee, provide Talkparty certain personal information (including, name, phone number, e-mail address, etc.), and select a password. You shall provide Talkparty with accurate, complete, and updated registration information, in compliance with all applicable laws, rules, and regulations. You may not:

Impersonate another person;
Use as a username a name subject to any rights of another person or entity without appropriate authorization; or
Use another User's account without permission.

Talkparty reserves the right to refuse User registration or block access to the App, at its sole discretion. You are solely responsible for activity that occurs on your account and must keep your credentials secure. You must notify Talkparty immediately of any breach of security or unauthorized use of your account. Talkparty will not be liable for your losses caused by any unauthorized use of your account.

PAYMENT

Certain Services and Features are only offered under a monthly/annual Paid Subscription ("Paid Content"). You agree to pay whatever fees and other charges are presented to you when you subscribe to a Paid Content ("Fees"). If the payment plan is on a recurring subscription basis, you agree to pay the Fees in accordance with the applicable billing cycle.

You acknowledge and agree that you are solely responsible for all applicable fees and charges incurred, including applicable taxes, and all subscription fees and purchases made by you or by anyone that has used your account(s). If you are acting on behalf of an entity, you represent that you are authorized to act on behalf of such entity.

Talkparty uses third-party payment processors, such as Paddle.com, to facilitate payments for the Services. Your purchase will be subject to the applicable payment processor's terms of use, refund policies, and other applicable policies they may have in place. You can cancel such paid subscription via the third-party payment processor following their applicable terms and payment policies.

INTELLECTUAL PROPERTY AND LICENSE

Talkparty retains all right, title, and interest in and to the App and Services (including any and all related intellectual property rights). Subject to these Terms and Conditions, Talkparty hereby grants You a limited, non-transferable, non-exclusive, non-assignable, non-sublicensable license to access and use the Services and the App, provided that You will not alter or modify any part of the Services, other than as may be reasonably necessary to use the App and Services for their intended purpose.

USER CONTENT AND GENERATED CONTENT

You may create, store, upload, post, publish, provide, display, share, and otherwise transfer to third parties content via the App (collectively, "User Content").

You hereby grant Talkparty an irrevocable, perpetual, non-exclusive, worldwide, royalty-free, sublicensable right and license to use, copy, modify, adapt, translate, share, publish, reproduce, create derivative works from, distribute, publicly perform, and display your User Content in order to provide or enable the App and/or Services.

You shall be solely responsible for any User Content that You upload, post, publish, provide, display, share, and otherwise transfer via the App and for any damage or loss to any other third party resulting therefrom. Talkparty does not assume liability for the accuracy, validity, legal status, or safety of any User Content.

RESTRICTIONS ON USE

You hereby warrant that You have the authority to enter into these Terms and Conditions and that your use of the Services complies with applicable laws. You may not:

Use the App in a way that is defamatory, harassing, threatening, obscene, offensive, or otherwise harmful;
Infringe on any intellectual property rights of third parties;
Post or transmit any malicious software;
Impersonate another person or entity;
Violate any applicable laws or regulations.

THIRD-PARTY WEBSITES

The App may contain links to third-party websites, applications, or services that are not owned or controlled by Talkparty. Talkparty is not responsible for the availability, accuracy, or content of such third-party services. Your use of third-party services is at your own risk and subject to their respective terms of use.

TERMINATION

Talkparty may terminate or suspend your license, account, and access to the App and/or Services at any time, without prior notice or liability. Upon termination, any rights granted to you under these Terms and Conditions will automatically terminate.

WARRANTY DISCLAIMER

The App and Services are provided "as is" and without warranty of any kind. Talkparty does not guarantee uninterrupted, error-free service. The App's AI-generated responses are dependent on User input, and Talkparty is not responsible for any generated content.

LIMITATION OF LIABILITY

In no event shall Talkparty, its shareholders, directors, officers, or employees be liable for any indirect, incidental, special, consequential, or punitive damages related to the use of the App.

PRIVACY POLICY

By using our App and/or Services, You acknowledge that You have reviewed and agree to our Privacy Policy, available at talkparty.app/privacy.

CHANGES TO TERMS

Talkparty reserves the right to update these Terms and Conditions at any time. Your continued use of our App and/or Services will be subject to the then-current Terms and Conditions.
